2022 BY-LAWS
DONALD E. DAVIS SQUADRON
OF THE
MARINE CORPS AVIATION ASSOCIATION
Article I
NAME
Section 1. The name of this Squadron shall be the
DONALD E. DAVIS
Squadron of the Marine Corps Aviation Association, and shall be (a non-profit, unchartered association) (non-profit, non-stock, membership corporation) (optional).
Article II
PURPOSE
Section 1. To honor all those who have served or are serving in Marine Aviation and to perpetuate the spirit of comradeship traditional among those who have served in Marine Aviation.
Section 2. To foster and encourage interest in Marine Corps Aviation.
Section 3. To recognize and reward meritorious and professional achievement in performing the missions and tasks of Marine Aviation.
Section 4. To actively seek means of preserving and furthering the unique roll of Marine Aviation in the National Defense policy of the United States.
Article III
POLICY
Section 1. This Squadron shall be strictly non-partisan and neither its name, nor its influence shall ever be used, directly or indirectly in connection with party politics or any form of political action.
Article IV
MEMBERSHIP
Section 1. Regular Members: Marines and other members or former members of the Armed forces who have served with Marine Corps aviation units, and whose entire character of service has been honorable.
Section 2. Honorary Members: Any person who has made a significant contribution to Marine Corps Aviation and who has been designated an Honorary Member of the Marine Corps Aviation Association at its annual reunion or at one of its regularly scheduled business meetings in accordance with its national by-laws. Honorary members shall have all the rights and privileges of other members, except that they shall not be entitled to vote nor to hold office.
Section 3. Associate Members: Any person who has expressed an interest in Marine Corps aviation and the goals of this organization. Associate members shall have the rights and privileges of regular members except that they shall not be eligible to hold office.
Section 4. MCAA HQ requires that squadron officers, and/or at least 15% of its overall member maintain membership at the MCAA National level. Addendum 3 reflects those squadron members that are members in good standing with MCAA National.
Article V
ORGANIZATION
Section 1. Squadron Headquarters: Squadron headquarters shall be located in the State of North Carolina.
Section 2. Officers: Elected officers of this squadron shall be:
Commander – Limited to 3 consecutive terms of one year each
Executive Officer – Same as Commander, but on a different annual cycle
Adjutant-Treasurer – No limit
Communications Officer – No limit
a. Officers shall serve a term beginning on the 1st day of November of each year and until their successors are elected. All officers and directors shall serve without pay.
b. The commander shall be the chief executive officer and the chairman of the board of directors. All officers shall fulfill duties normally pertaining to that office, or as may be assigned by the board of directors.
Section 3. Board of Directors: The elected officers shall initially comprise the board of directors, until a Board can be elected by squadron membership.
a. It is envisioned that the Board of Directors will be comprised of 3-5 members, serving a term of 3 years, beginning during the period of the squadron’s annual conference’ (date as established) business meeting.
b. The control and management of the affairs of the at-large squadron of the Marine Corps Aviation Association is vested in the Board of Directors. The squadron commander shall be the presiding officer. All decisions of the Board of Directors will be made by a majority vote with at least 3 of the board members being present to constitute a quorum.
Section 4. By–Laws: The Board of Directors shall prepare and approve the initial by –laws. Thereafter, amendments thereto which may from time to time become necessary shall be submitted to the membership of the squadron by the Board of Directors for approval.
Section 5. Committees: The commander may appoint such committees as may deem appropriate, which committees shall function until relieved.
Article VI
FINANCES
Section 1. In addition to national membership fees and annual dues, dues for regular and associate members may be levied by the Board of Directors as approved by a majority vote of the Board of Directors and shall be payable to the squadron treasurer. There shall be no dues for honorary members. There will be an established Life Membership rate.
Section 2. Local squadron dues shall not exceed national dues.
Section 3. No officer shall expend funds or obligate this squadron without written authority from the Board of Directors. In no event may any indebtedness be incurred in excess of cash assets on hand, nor may any funds be expended in violation of these by-laws.
Section 4. The Board of Directors shall insure that all records, accounts and funds are audited annually.
Article VII
ELECTIONS
Section 1. Officers and Directors shall be elected by a majority vote of the members present at the annual business meeting of this squadron, to take office one month following the election.
Section 2. Vacancies in any office may be filled by the majority vote of the Board of Directors, said election to be for the unexpired term of the office.
Article VIII
COMMITTEES
Section 1. Committee formation: The board may create committees as needed, such as fundraising, recruitment and retention, public relations, data collection, etc. The officers and board chair make recommendations for establishment and appointment of all committee chairs. Members of established committees are outline in Addendum 2.
Article IX
ANNUAL BUSINESS MEETING
Section 1. There shall be an annual business meeting during the month of September or October, or unless otherwise rescheduled. Location will be determined by the Board of Directors and officers.
Section 2. The squadron will hold three (3) business meetings per year, including the annual event.
Article X
SEAL AND INSIGNIA
Section 1. The Seal and Insignia of the at-large squadron will be those adopted by the Marine Corps Aviation Association, with appropriate local additions.
Article XI
AWARDS
Section 1. The recognition of outstanding contributions of Marine Aviation is a significant and continuing function of this Association. This squadron will aid and participate in all awards bestowed by the National Association and may make such local awards as are appropriate. Any award thus bestowed will be presented at the annual meeting or as determined by the Board of Directors.
Article XII
PUBLICATIONS
Section 1. The squadron will publish a minimum of two (2) newsletters per year with copies sent to National Headquarters.
Article XIII
DISSOLUTION
Section 1. The dissolution of the squadron may be accomplished by unanimous vote of the members. Any may make a motion to dissolve the Organization.
Section 2. In the event the squadron is dissolved, all assets owned by the Squadron and funds shall be remitted to National Association.
Article XIV
REMOVAL AND RESIGNATION
Section 1. Any Squadron Officer may be removed, either with or without cause, by a majority of the members voting at any squadron meeting.
Section 2. Regular members may be terminated by a majority of the Board of Directors.
Section 3. Officers, directors and members may resign at any time.
Article XV
RECORDS
Section 1. All records, rosters minutes of the meetings, copies of newsletters, correspondence and transactions shall be kept by the Adjutant.
Article XVI
AMMENDMENTS
Section 1. These by-laws may be amended when necessary by majority of the board of directors. Proposed amendments must be submitted to the Adjutant/Treasurer to be sent out with regular board announcements.
CERTIFICATION
These bylaws were approved at a business meeting of officers and the board of directors by a majority vote on 17 March, 2018 and Amended 14 June 2022.
